End User Licensing Agreement

This End User License Agreement (“Agreement”) is a legal agreement between you (referred to as “End User”) and Carter Software (referred to as “Licensor”) for the software product named EasyBase (“Software”) developed by Licensor. By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree with these terms, do not install, access, or use the Software.

GRANT OF LICENSE:

Licensor grants to End User a non-exclusive, non-transferable, limited license to use the Software for the purpose of data management as described in the Software documentation.

INTELLECTUAL PROPERTY:

End User acknowledges that the Software, including but not limited to any copyrights, trademarks, trade secrets, or other intellectual property rights therein, is and shall remain the sole property of Licensor. This Agreement does not convey any ownership rights to End User.

RESTRICTIONS:

End User shall not, without the prior written consent of Licensor:
a. Copy, modify, reverse engineer, decompile, or disassemble the Software.
b. Rent, lease, distribute, sublicense, or transfer the Software to any third party.
c. Use the Software for any illegal or unauthorized purpose.

SUPPORT AND MAINTENANCE:

Licensor shall provide support and maintenance for the Software as described in separate support and maintenance agreements, if applicable.

DISCLAIMER OF WARRANTY:

The Software is provided “as is” without any warranties, expressed or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not warrant that the Software will be error-free or that its use will be uninterrupted.

LIMITATION OF LIABILITY:

In no event shall Licensor be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services, loss of use, data, or profits) arising in any way out of the use, inability to use, or performance of the Software, even if Licensor has been advised of the possibility of such damages.

TERMINATION:

This Agreement is effective until terminated. Licensor may terminate this Agreement immediately without notice if End User fails to comply with any term of this Agreement. Upon termination, End User shall cease all use of the Software and destroy all copies of the Software in its possession.

GOVERNING LAW:

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is located, without regard to its conflict of laws principles.

ENTIRE AGREEMENT:

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements.

By installing, accessing, or using the EasyBase software, you acknowledge that you have read and understood this Agreement, and agree to be bound by its terms and conditions.
